Voxryn Switchboard
Software License Agreement · Version 1.4 — 24 October 2026
Licensor: Martin Gettig, an individual residing in Pennsylvania, United States
License fee: $1,500 USD, paid once
License type: One non-exclusive, non-transferable, perpetual license, subject to this Agreement
This Software License Agreement (“Agreement”) governs the purchase and use of Voxryn Switchboard (the “Software”) from Martin Gettig (“Licensor”) by the person or legal entity purchasing the license (“Licensee”). By affirmatively accepting this Agreement before payment, Licensee agrees to be bound by its terms.
The product description identified in the acceptance record describes the deliverable and its represented features. This Agreement governs the license grant, restrictions, warranties, liability, and other legal terms. The product description does not enlarge the rights granted by this Agreement. If a description of the deliverable conflicts with an express statement in this Agreement about what is included, the two documents must be read together where reasonably possible; the product description controls the stated contents and features of the deliverable, while this Agreement controls the scope of the license.
This Agreement is a contract between Licensor and Licensee. It is not a legal opinion or a certification that the Software is suitable for any particular use.
1. Parties and definitions
1.1 Licensor. The Licensor is Martin Gettig, an individual residing in Pennsylvania, United States.
1.2 Licensee. Licensee is the individual or legal entity identified as the purchaser in the applicable purchase record. If a business purchases the license, that business is the Licensee, and the person accepting this Agreement represents that they are authorized to accept it on the business's behalf.
1.3 Software. “Software” means the Voxryn Switchboard program and the components included in the archive identified by the product description and purchase record, excluding third-party components to the extent those components are governed by their own licenses.
1.4 Deliverable. “Deliverable” means the downloadable software archive made available to Licensee following successful payment, as identified by the applicable product description and purchase record.
1.5 Independent copy. An “independent copy” is a copy or packaged version that another person can separately obtain, install, and run as their own instance of the Software, whether modified or unmodified.
1.6 Authorized users. “Authorized users” means Licensee's employees or contractors who are permitted by Licensee to use the Software on Licensee's behalf, within the rights granted by this Agreement.
2. Purchase, payment, and delivery
2.1 Fee. The license fee is $1,500 USD, payable once for the license described in this Agreement. The fee does not include support, maintenance, updates, hosting, or other services unless separately agreed in writing.
2.2 Payment processing. Payment is processed through the payment provider presented at checkout. The provider's payment interface and processing terms may apply to the payment transaction. A checkout page loading or displaying a success message, by itself, does not establish that payment succeeded or that the Deliverable was released.
2.3 Effective date. The license becomes effective only after (a) Licensee has affirmatively accepted this Agreement and (b) payment has succeeded and the Deliverable has been made available to Licensee. Before those conditions are met, no license to use the Software is granted under this Agreement.
2.4 Delivery failure. If payment succeeds but the Deliverable is not made available, Licensee should contact Licensor at support@voxryn.ai. Licensor will make reasonable efforts to provide the Deliverable. If it cannot be made available within five business days after Licensee reports the failure, Licensor will refund the license fee paid for that undelivered license. If a different or additional remedy is required by applicable law, that law controls. A refund under this subsection concerns a license that did not become effective; it is not a general right to return a license after delivery.
2.5 No voluntary refund after delivery. Except as expressly stated in Section 2.4 or required by applicable law, purchases are final once the license has become effective. Nothing in this Agreement waives a right or remedy that applicable law does not permit the parties to waive.
3. License grant and permitted use
3.1 Grant. Subject to this Agreement and payment of the license fee, Licensor grants Licensee one non-exclusive, non-transferable, perpetual license to install, execute, use, inspect, and modify the Software for Licensee's own personal or commercial work.
3.2 Multiple computers. The license permits Licensee to install and run the licensed Software on multiple computers owned or controlled by Licensee, including simultaneous use, without purchasing an additional license for each such computer. This permission applies to Licensee's use of the Software and does not authorize distribution of independent copies to other persons or businesses.
3.3 Authorized users. Licensee may permit its Authorized users to use the Software on Licensee's behalf. Licensee is responsible for their compliance with this Agreement. Authorized users do not receive separate licenses, ownership rights, or independent redistribution rights under this Agreement.
3.4 Client work. Licensee may use the Software to perform work for clients and may charge clients for that work. Clients do not thereby acquire a license to the Software. Licensee may provide work product or services created using the Software, but may not give a client an independent copy of the Software except as expressly permitted in writing by Licensor.
3.5 Modification. Licensee may inspect, edit, modify, adapt, and change the Software's programming for Licensee's own purposes and may use those modifications in Licensee's personal or commercial work. These rights do not transfer ownership of the original Software or grant a right to distribute the Software or a modified version as an independent copy.
3.6 Copies for installation and recovery. Licensee may make reasonable copies necessary to install, back up, restore, or recover the licensed Software. Such copies remain subject to this Agreement and may not be provided to other persons as independent copies.
3.7 Reservation of rights. The license grants only the rights expressly stated in this Agreement. All other rights in the Software are reserved by Licensor or the applicable third-party rights holders. Possession of the archive does not, by itself, grant any intellectual property right.
4. Restrictions and redistribution
4.1 No redistribution of independent copies. Except with Licensor's prior written permission or where applicable law expressly permits otherwise, Licensee may not sell, resell, rent, lease, sublicense, publish, distribute, transfer, or otherwise provide the Software, its source code, or a substantial portion of it to another person in a form that enables that person to obtain, install, or run an independent copy.
4.2 No repackaging for distribution. Without Licensor's prior written permission, Licensee may not package or republish the Software or a modified version as an installer, download, container, image, source package, bundled application, or other distribution that enables another person to obtain and run an independent copy. This restriction applies whether the proposed distribution is paid or free of charge.
4.3 Client services are permitted. Licensee may use the Software to provide services or perform work for clients. Providing the client with a separate runnable or installable copy of the Software is redistribution and is not permitted under this license unless Licensor agrees in writing.
4.4 No unauthorized transfer. Licensee may not assign, sell, transfer, or sublicense the license or this Agreement to another person or legal entity without Licensor's prior written consent, except to the extent applicable law prohibits that restriction. A permitted assignment does not automatically authorize redistribution of the Software itself.
4.5 No removal of notices. Licensee may not remove or obscure copyright notices, third-party notices, or other proprietary notices included with the Software, except where applicable law or a relevant third-party license permits it.
4.6 Applicable law. Nothing in this Section prohibits an act that applicable law expressly permits and that cannot lawfully be restricted by contract. Any such statutory permission is limited to the extent provided by law.
5. Intellectual property and third-party components
5.1 Ownership. Copyright and other intellectual property rights owned by Licensor in the Software as delivered remain with Licensor. This Agreement grants a license to use the Software; it does not sell or assign those intellectual property rights to Licensee.
5.2 Licensee modifications. Licensee retains rights, if any, in original material independently created by Licensee, subject to Licensor's rights in the original Software and any portions incorporated into a modification. A modification does not transfer ownership of the original Software to Licensee.
5.3 Third-party components. The Software may include or rely on third-party components, including a bundled Python runtime and Microsoft WebView2 components. Those components remain subject to their applicable third-party licenses, notices, and terms. Where a third-party license grants rights or imposes obligations that govern a component, that license governs the component to the extent of any conflict with this Agreement. This Agreement does not purport to remove rights granted by a third-party license.
5.4 Continued development and licensing. Licensor may continue to use, modify, develop, and license the Software to other parties. This license is non-exclusive.
6. Deliverable, system requirements, and responsibility for use
6.1 Local software. The Deliverable is the archive identified by the product description at the time of purchase. The Software is intended to be installed and operated by Licensee on computers Licensee controls. It is not, by virtue of this purchase, a hosted gateway or a service that Licensor operates on Licensee's behalf.
6.2 Licensee's environment. Licensee supplies and maintains the computer, operating system, network, programs, credentials, endpoints, and other resources needed for Licensee's intended use. Licensee is responsible for deciding whether the Software is appropriate for the intended environment and work.
6.3 Description and testing. The product description states the contents and represented behavior of the Deliverable. Licensee's acceptance confirms that Licensee had the opportunity to review that description; it does not represent that Licensee has independently tested, evaluated, or validated the Software.
6.4 Operational responsibility. Licensee is responsible for configuration, backups, access to the machine, credentials and tokens, the data or requests sent through the Software, and the destinations to which the Software forwards requests. Licensee is also responsible for obtaining any consent, authorization, or other rights needed for its use and for its obligations to its own clients or users.
6.5 Lawful use. Licensee must use the Software in compliance with applicable law and must not use it to violate another person's rights or access systems without authorization.
7. Term and termination
7.1 Term. Once effective under Section 2.3, the license is perpetual unless terminated under this Agreement or as otherwise required by applicable law.
7.2 Material breach. If Licensee materially breaches this Agreement and the breach is capable of cure, Licensor may provide written notice describing the breach and allow thirty days after notice for Licensee to cure it. If Licensee fails to cure the breach within that period, Licensor may terminate the license by written notice, to the extent permitted by applicable law.
7.3 Breaches not capable of cure. Where a material breach cannot reasonably be cured, or immediate action is required to protect rights or comply with law, Licensor may pursue termination or other remedies available under applicable law. This subsection does not authorize a remedy that the law prohibits.
7.4 Effect of termination. Upon termination, Licensee must stop using the Software and delete or destroy copies under Licensee's control, except for a copy that Licensee is required or legally permitted to retain for a legal, regulatory, archival, or evidentiary purpose. A retained copy may not be used to operate the Software and remains subject to applicable confidentiality and intellectual property obligations.
7.5 Accrued rights. Termination does not extinguish a claim or obligation that arose before termination. Sections concerning intellectual property, restrictions, disclaimers, limitations of liability, disputes, and any provision that by its nature should survive will survive to the extent permitted by law.
8. No support or continuing services
8.1 No included support. The license fee does not include installation assistance, training, consulting, custom development, maintenance, updates, upgrades, hosting, monitoring, troubleshooting, or support.
8.2 Separate engagements. Any work Licensor agrees to perform after delivery must be covered by a separate written agreement identifying the scope of work, fee, and applicable schedule. No such work is included unless agreed in writing.
8.3 No update obligation. Licensor has no obligation under this Agreement to release a later version, patch, feature, security update, or other modification of the Software.
9. Disclaimer of warranties
THE SOFTWARE IS PROVIDED “AS IS,” “WHERE IS,” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT ANY WARRANTY, EXPRESS, IMPLIED, OR STATUTORY, EXCEPT TO THE EXTENT A WARRANTY CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES THAT MIGHT OTHERWISE ARISE FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL OPERATE WITHOUT INTERRUPTION, ERROR, OR DEFECT; THAT IT WILL BE COMPATIBLE WITH EVERY COMPUTER, OPERATING SYSTEM, NETWORK, PROGRAM, OR CONFIGURATION; THAT A PARTICULAR NETWORK CONNECTION OR CALL WILL SUCCEED; THAT THE SOFTWARE WILL DETECT EVERY ERROR OR SECURITY ISSUE; OR THAT ITS USE WILL PRODUCE ANY PARTICULAR RESULT, SAVING, REVENUE, OR BUSINESS OUTCOME.
NO DESCRIPTION, EXAMPLE, DEMONSTRATION, OR GENERAL STATEMENT ABOUT THE SOFTWARE CREATES A WARRANTY EXCEPT TO THE EXTENT A WARRANTY IS EXPRESSLY MADE PART OF THE PARTIES' AGREEMENT OR CANNOT LAWFULLY BE DISCLAIMED.
NOTHING IN THIS SECTION EXCLUDES OR LIMITS A WARRANTY, RIGHT, OR REMEDY THAT APPLICABLE LAW DOES NOT PERMIT THE PARTIES TO EXCLUDE OR LIMIT.
10. Licensee's responsibilities
10.1 Data and backups. Licensee is responsible for maintaining appropriate backups and for determining whether the Software is suitable for use with Licensee's data, systems, and business processes.
10.2 Credentials and access. Licensee is responsible for safeguarding credentials, tokens, secrets, and access to the computer on which the Software runs. Licensee is responsible for configuring permissions and controlling who may use the Software.
10.3 Requests and destinations. Licensee is responsible for the content and legality of data, requests, and other materials handled by the Software, as well as the configuration and authorization of endpoints and programs to which it connects.
10.4 Client obligations. Licensee remains responsible for representations, promises, service levels, legal obligations, and contractual duties owed to Licensee's clients or other third parties. This Agreement does not make Licensor a party to those arrangements.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THE SOFTWARE, ITS USE OR INABILITY TO USE, OR THIS AGREEMENT. THESE EXCLUDED DAMAGES INCLUDE LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOST GOODWILL, LOST OR CORRUPTED DATA, BUSINESS INTERRUPTION, COSTS OF SUBSTITUTE SOFTWARE OR SERVICES, AND CLAIMS ARISING FROM LICENSEE'S OBLIGATIONS TO ITS CLIENTS OR OTHER THIRD PARTIES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT WILL NOT EXCEED THE LICENSE FEE ACTUALLY PAID TO AND RECEIVED BY LICENSOR FOR THE LICENSE GIVING RISE TO THE CLAIM.
THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ASSERTED, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF LICENSOR HAS BEEN ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS LIABILITY TO THE EXTENT SUCH LIABILITY CANNOT LAWFULLY BE EXCLUDED OR LIMITED, INCLUDING LIABILITY FOR FRAUD OR INTENTIONAL MISCONDUCT TO THE EXTENT APPLICABLE LAW PROHIBITS ITS EXCLUSION OR LIMITATION.
The parties intend the limitations in this Section to allocate risks associated with a one-time software license without ongoing support or services. If a limitation is unenforceable in a particular circumstance, it will apply to the maximum extent permitted by law, and the remaining provisions will remain in effect to the extent they can operate independently.
12. Governing law and disputes
12.1 Governing law. This Agreement is governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law principles, except where federal law or a non-waivable law requires otherwise.
12.2 Informal resolution. Before commencing a non-emergency legal proceeding concerning this Agreement, each party will make a reasonable effort to provide written notice of the dispute and attempt to resolve it through direct discussion. This requirement does not prevent a party from taking action within a deadline imposed by law or seeking urgent relief when necessary.
12.3 Courts and jurisdiction. Subject to applicable law, a proceeding arising out of or relating to this Agreement may be brought in a state or federal court of competent jurisdiction located in Pennsylvania. Each party consents to the personal jurisdiction of such a court to the extent legally effective. Nothing in this subsection overrides a mandatory venue, jurisdiction, or consumer-protection rule that applies to a particular claim.
12.4 Available remedies. Either party may seek any remedy available under applicable law, subject to the valid limitations expressly stated in this Agreement.
13. Entire agreement and interpretation
13.1 Entire agreement. This Agreement, the product description identified in the purchase record, the applicable third-party license terms, and the record of Licensee's acceptance constitute the agreement governing this license, to the extent each document applies to its subject matter. They supersede prior proposals or statements about the license that are inconsistent with them, except for a representation or obligation that applicable law does not permit the parties to disclaim or supersede.
13.2 Changes and exceptions. A change to this Agreement or an exception to a restriction must be in a written record agreed to by both parties. A general statement or informal conversation does not change this Agreement unless the parties clearly agree to the change in writing.
13.3 Severability. If a provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted by law, where possible. If it cannot be enforced, it will be severed to the extent necessary, and the remaining provisions will continue in effect unless doing so would defeat the essential purpose of the Agreement.
13.4 No waiver. A party's failure or delay in enforcing a provision does not waive that provision. A waiver is effective only to the extent stated in a written record made by the party granting it.
13.5 Assignment. Licensee may not assign this Agreement or the license without Licensor's prior written consent, except to the extent that restriction is prohibited by applicable law. Licensor may assign rights and obligations where permitted by law, provided that doing so does not eliminate rights that applicable law grants Licensee.
13.6 No agency or partnership. This Agreement does not create an employment relationship, partnership, joint venture, franchise, fiduciary relationship, or agency between the parties.
13.7 Interpretation. Headings are for convenience and do not affect interpretation. “Including” means “including without limitation.” The Agreement will not be interpreted against a party solely because that party drafted or proposed a provision.
13.8 Electronic records. The parties agree to conduct the purchase and acceptance transaction electronically. Electronic records and signatures may be used to the extent permitted by applicable law. A record of acceptance must identify the version of this Agreement accepted and the time of acceptance, and must be retained in a form reasonably capable of later retrieval.
14. Acceptance and purchase record
14.1 Affirmative acceptance. Before the payment form is made available, Licensee must affirmatively indicate acceptance of this Agreement through the site's designated acceptance control. The acceptance control must not be preselected. Merely visiting the website, viewing this Agreement, or downloading a publicly available copy does not constitute acceptance.
14.2 Record of assent. The site should retain a record of the acceptance associated with the purchase, including the accepted Agreement version, the product-description version or archived description, the time of acceptance, and the applicable order or transaction identifier where available. The record should be retained before payment and associated with the resulting purchase record.
14.3 Agreement version. The version presented at the time of acceptance governs that purchase, subject to applicable law. A later revision does not retroactively alter an existing license unless the parties agree to the change or applicable law otherwise permits it.
14.4 Effective license. The license becomes effective only as described in Section 2.3: after affirmative acceptance, successful payment, and availability of the Deliverable.
14.5 License particulars.
